User Service Agreement

I. Preface

Welcome to the Text-to-Speech (TTS) services and related websites and mobile applications (collectively referred to as the "Service") provided by AI Voice Lab, Inc.This Agreement, together with the Privacy Policy, governs your use of the Service. The Privacy Policy is an integral part of this Agreement. By accessing the website, downloading or using the application, you agree to be bound by this Agreement and the Privacy Policy. If you do not agree, please discontinue use of the Service immediately.

II. Service Content and Scope of Use

1.The Service provides text-to-speech functionality through application software, and displays information and redirects to the App Store for download via the website.

2.The Service includes trial versions, subscription services and value-added features; specific content and pricing shall be subject to the in-app display and App Store announcements.

3.We do not actively provide the Service to minors under the age of 13; minors must use the Service under the guidance of a guardian.

4.We reserve the right to modify, suspend or terminate part or all of the Service based on business development, legal requirements or technical needs, and shall give prior notice within a reasonable scope.

5.Your use of the Service confirms that you have full civil capacity and assume full responsibility for your operational conduct.

6.You may not use the Service for unauthorized commercial resale or bulk distribution; adjustments, suspension or termination of the Service shall not automatically entitle you to a refund, unless otherwise mandated by law.

III. Account and Security

1.Users log in with an Apple ID or other third-party accounts, and shall ensure account security and be responsible for login activities.

2.Users shall properly keep accounts and access credentials to prevent unauthorized access.

3.You shall immediately notify support@aivoicelab.com upon discovering abnormal account activity.

4.We shall not be liable for losses caused by improper user account management.

5.You may not share, rent or transfer personal account credentials, or allow others to use the Service under your account; you shall update account information immediately upon changes.

6.Losses caused by the leakage of account passwords or identity information shall be borne by the user.

7.If your account is suspended, deregistered or terminated due to violation of rules, you will lose all unused service benefits; after account deregistration, relevant personal data shall be processed in accordance with the Privacy Policy.

IV. License and Use Restrictions

Users shall not engage in the following acts:

1.Copy, modify, distribute, sell or re-license the Service content.

2.Circumvent security measures or conduct reverse engineering of the Service.

3.Upload illegal, infringing, harassing content or content containing malicious code.

4.Reverse compile, disassemble, crack, extract source code from or bypass service restrictions of the Service (including but not limited to mobile applications and website services).

5.Crawl or batch-capture Service data using automated tools, scripts, crawlers or similar means.

6.Use the Service for any unauthorized commercial or illegal purposes.

V. AI Content Generation and Usage Rules

1.Text uploaded by users shall only be used for real-time speech generation, and generated speech content shall be for personal use.

2.Users shall ensure that uploaded content is legal and free of infringement or illegal risks; we shall not be liable for any commercial use of user-generated speech content.

3.We may delete, block or restrict content upon discovering illegal or non-compliant content.

4.AI Transparency:

○User text shall be processed and speech generated by AI models on servers located within the United States.

○Text from international users shall be transmitted cross-border to the United States for processing, in compliance with cross-border compliance measures set forth in the Privacy Policy.

○Data shall only be used for speech generation and no other purposes; we will never sell user personal information or content data.

○AI output may contain deviations or errors; users shall make their own judgments.You retain all legal rights to uploaded text and generated speech content, and grant us a worldwide, perpetual, non-exclusive, royalty-free, sub-licensable license solely for providing, optimizing, maintaining the Service and ensuring service security. Such license shall not be used for third-party commercial resale of user content. We do not guarantee the uniqueness of AI-generated content and shall not be liable for the accuracy or applicability of generated content.

VI. Subscription and Payment

1.Paid subscription services are processed by the Apple App Store; fees, periods and cancellation shall be subject to the subscription page and App Store public notices.

2.We only receive subscription status notifications and do not store payment credentials or bank card information.

3.We will notify you in advance if the subscription price is adjusted; if you do not accept the adjusted price, you shall cancel auto-renewal in the manner specified in this Agreement before the renewal deduction. Failure to cancel shall be deemed your consent to renew at the adjusted price.

4.Your subscribed paid services will auto-renew until you actively cancel; auto-renewal rules will be notified 7 days in advance via in-app notice or email, and you authorize Apple to automatically deduct fees in accordance with subscription rules.

5.We reserve the right to suspend your paid service privileges if automatic deduction fails due to invalid payment methods or insufficient balance.Consumer Right of Withdrawal: Consumers in the EU have the right to withdraw from subscriptions without reason within 14 days pursuant to the GDPR. This right shall not apply if digital content has already been provided. You may exercise the right of withdrawal by applying through support@aivoicelab.com or official App Store channels.

VII. User Conduct and Obligations

1.Users undertake to strictly comply with the following obligations:

○Comply with applicable laws and this Agreement.

○Do not upload illegal, infringing, harassing content or content that interferes with the normal operation of the Service.

○Do not distribute malware or non-compliant content through the Service.

○Bear full responsibility for any losses caused by their own conduct.

2.You may not use the Service to engage in infringement, fraud, defamation, dissemination of illegal information, endangering network security or other acts, or abuse service resources or interfere with normal service operation. If you violate this clause, we reserve the right to immediately take measures including restriction, suspension, data deletion, etc., without refund.

3.Export Control Compliance: You undertake to comply with the export control and economic sanction laws and regulations of the United States and any other country/region, not to be located in a country/region sanctioned by any government, not to be listed on any government sanction list, and not to use the Service for purposes violating relevant laws.

4.Indemnification: If you are an enterprise user and cause us losses due to your use of the Service, breach of this Agreement or infringement of third-party rights, you shall indemnify us for all losses (including reasonable expenses such as attorney fees, litigation costs and administrative fines). Individual users who cause us losses due to intentional or gross negligence shall also bear corresponding liability for compensation.

VIII. Intellectual Property Rights

1.All intellectual property rights in the Service content, interface, documents, AI models and materials are owned by AI Voice Lab, Inc.

2.Except for the uploaded text, the copyright of user-generated speech content shall be owned by the user, and shall only be used for the user’s personal or internal legitimate business purposes, and may not be commercially used, distributed or sub-licensed to third parties, provided that this Agreement and applicable laws are not violated.

3.Users shall not infringe our or third-party intellectual property rights.Our trademarks, logos, product names, sound libraries, software code, interface design and the like are protected by intellectual property laws; no one may copy, imitate, use or register them without written permission. You may not delete or alter intellectual property rights notices in the Service.Copyright Infringement Complaint (DMCA): If you believe content in the Service infringes your copyright, you may submit a copyright complaint notice complying with DMCA requirements to support@aivoicelab.com . We will complete verification and handle it in accordance with the law within a reasonable period after receiving a valid complaint, and notify the complainant of the handling result by email.

IX. Limitation of Liability

The Service is provided on an "as-is" basis and is not guaranteed to be entirely error-free or continuous.To the fullest extent permitted by law, we shall not be liable for unforeseeable indirect losses, loss of profits, business interruption, third-party conduct, network/device failures, force majeure or losses caused by improper user operations.Users shall solely guarantee the legality of uploaded text content.To the extent permitted by law, except for direct losses caused by intentional or gross negligence, we shall not be liable for indirect, special or incidental losses, and the total compensation shall not exceed the subscription service fee you paid to us for the relevant transaction (denominated in US dollars); this clause shall not exclude your statutory consumer rights under applicable laws.Third-Party Service Disclaimer: The Service may rely on third-party services beyond our control. To the fullest extent permitted by law, users bear the risk of using third-party services, and we shall not be liable for failures, interruptions or security issues of third-party services.

X. Cross-Border Data Transfer (Countries/Regions Outside the United States)

1.For international users using the Service, their personal information shall be transmitted cross-border to the United States for processing.

2.Users consent to cross-border transmission and acknowledge that US data protection standards may differ from local regulations.

3.International users may exercise cross-border data rights set forth in the Privacy Policy, including access, correction, deletion and withdrawal of consent.

4.EU users may apply for data portability and complain to regulatory authorities pursuant to the GDPR.

5.Japanese users may request disclosure of cross-border transmission information and confirmation of data recipient security measures pursuant to the APPI.Your use of the Service constitutes explicit consent to cross-border data transmission; we have adopted compliance measures including encryption, security audits and data processing agreements to protect data security.Users may submit an application to withdraw consent to cross-border data transmission via support@aivoicelab.com ; withdrawal may affect normal use of the Service, and we will process relevant data in accordance with the Privacy Policy. EU and Japanese users may exercise relevant rights under the GDPR and APPI via this email address, with processing time and procedures strictly implemented in accordance with the Privacy Policy.

XI. Service Modification and Termination

1.We may adjust service content, features or terms of use at any time, and shall update them after prior notice within a reasonable period via website or in-app announcements.

2.We may suspend or terminate access rights for users violating the Agreement.

3.Users may discontinue use of the Service at any time and cancel subscriptions in accordance with App Store guidelines.After termination of the Service, we will delete and process your personal data in accordance with the Privacy Policy; paid subscription fees already paid are non-refundable (except as required by mandatory law). If we terminate all services due to business adjustments, we will give prior notice and provide reasonable aftercare.

XII. Agreement Updates

1.We reserve the right to update this Agreement from time to time. Material updates include but are not limited to: changes to cross-border data transmission rules, subscription payment terms, AI content usage rules, or core user rights.

2.Updates will be publicized via the official website, in-app pop-ups or email notifications to international users.

3.Your continued use of the Service shall be deemed acceptance of the latest version.

4.Material changes to core rights or cross-border data processing will be notified to international users via pop-ups or emails.We will follow the principle of fairness and reasonableness when amending the Agreement. If you do not agree to the updated terms, you must discontinue use of the Service immediately.

XIII. Governing Law and Dispute Resolution

1.This Agreement shall be governed by the laws of the State of California, USA.

2.Any dispute arising out of this Agreement or the Service shall first be resolved through friendly negotiation.

3.If negotiation fails, the dispute may be submitted to an arbitration institution in the State of California, USA.

4.If any clause is invalid, it shall not affect the validity of the remaining clauses.

5.International users acknowledge: if non-waivable mandatory legal provisions exist under local law, such provisions shall prevail.Failure by us to exercise any right under this Agreement shall not constitute a waiver of such right; section headings are for convenience only and shall have no legal binding effect; electronic notices under this Agreement shall have the same legal force as written notices.
